Terms & Conditions
1. Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you" or "your") and Medicare Services Enterprises, LLC, doing business as YBT Health ("YBT Health," "we," "us," or "our"). These Terms govern your access to and use of our website, mobile applications, telehealth platform, and all related services (collectively, the "Services").
By accessing, registering for, or using our Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use our Services.
If you are using our Services on behalf of a minor for whom you are a parent or legal guardian, you agree to these Terms on behalf of that individual and accept responsibility for their use of the Services.
2. Description of Services
YBT Health is a mental and behavioral health care platform that provides access to licensed psychiatrists, psychiatric nurse practitioners, therapists, and other qualified mental health professionals. Our Services include, but are not limited to:
- Initial psychiatric evaluations and assessments
- Medication management and prescribing
- Individual and group therapy
- Telehealth consultations via secure audio and video
- Care coordination and referrals
- Patient intake and registration
- Electronic prescribing
- Secure messaging with your care team
- Insurance verification and billing
Not an Emergency Service: YBT Health is not an emergency or crisis service. If you are experiencing a medical or psychiatric emergency, please call 911 or go to your nearest emergency room. You may also contact the 988 Suicide & Crisis Lifeline by calling or texting 988.
3. Eligibility
To use our Services, you must:
- Be at least 18 years of age, or have the consent of a parent or legal guardian.
- Be physically located in a state where our providers are licensed to practice at the time of service.
- Provide accurate, complete, and current information during registration and throughout your use of the Services.
- Have the legal capacity to enter into a binding agreement.
We reserve the right to refuse, suspend, or terminate service to any individual at our discretion, in accordance with applicable law and our clinical judgment.
4. Account Registration & Security
To access certain features of our Services, you may be required to create an account. When creating an account, you agree to:
- Provide truthful, accurate, and complete information.
- Maintain the security of your login credentials and not share them with others.
- Notify us immediately of any unauthorized access to or use of your account.
- Accept responsibility for all activity that occurs under your account.
We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials.
5. Telehealth Services
By using our telehealth services, you acknowledge and agree to the following:
- Nature of telehealth: Telehealth involves the delivery of health care services using electronic communications, including video conferencing, secure messaging, and audio-only consultations when clinically appropriate.
- Technology requirements: You are responsible for having a device with a reliable internet connection, functioning camera and microphone, and a private environment for consultations.
- Limitations: Telehealth may not be appropriate for all conditions. Your provider may determine that an in-person visit or referral to another provider is necessary.
- Informed consent: You may be asked to provide informed consent for telehealth services as required by applicable state law prior to your first appointment.
- Recording: Telehealth sessions are not recorded unless specifically disclosed and consented to. Clinical notes are documented as part of your medical record.
- Prescribing: Prescriptions, including controlled substances where permitted by law, may be prescribed by your provider based on their clinical assessment. Prescribing practices comply with all applicable federal and state laws, including the Ryan Haight Online Pharmacy Consumer Protection Act. Certain controlled substance prescriptions may require an initial in-person evaluation or a telehealth consultation that meets applicable regulatory standards before being prescribed.
- Geographic requirements: You must be physically located in a state where your provider is licensed at the time of each telehealth consultation. You are responsible for accurately disclosing your location at the time of service.
6. Communications Consent
By providing your contact information and using our Services, you consent to receive communications from YBT Health through the following channels:
Email Communications
We may send you emails related to your account, appointments, care, and administrative matters. You may opt out of non-essential emails by using the unsubscribe link in any email or by contacting us.
SMS & Text Messages
By opting in to text messages, you consent to receive SMS and MMS messages from YBT Health. Messages may include appointment reminders, care notifications, intake form links, and account alerts. Message frequency varies. Message and data rates may apply.
You can opt out of text messages at any time by replying STOP to any message. For help, reply HELP or contact us at support@oneybt.com or (310) 560-7866.
Your consent to receive text messages is not a condition of purchasing any goods or services from YBT Health. Opting out of text messages will not affect your ability to receive care.
We do not sell, rent, or share your phone number or messaging opt-in data with third parties for their marketing purposes.
Phone Calls
We may contact you by phone for care coordination, appointment reminders, billing matters, and other service-related purposes. You may request to limit phone communications by contacting us.
7. Privacy & HIPAA
Your use of our Services is subject to our Privacy Policy, which describes how we collect, use, and protect your personal and health information. As a healthcare provider, we are subject to HIPAA and maintain the privacy and security of your protected health information in accordance with applicable law.
By using our Services, you acknowledge that electronic communication carries inherent risks to privacy, and you consent to the use of electronic means for the delivery of health care services and related communications.
8. Payment & Billing
By using our Services, you agree to the following billing terms:
- Insurance: We accept various health insurance plans. You are responsible for verifying that your plan is accepted and for understanding your coverage, including copayments, coinsurance, deductibles, and out-of-network costs.
- Copayments and cost-sharing: Copayments, coinsurance, and deductibles are due at the time of service unless other arrangements are made.
- Self-pay: If you do not have insurance or choose not to use it, self-pay rates will be discussed with you prior to service.
- No-show and cancellation policy: Appointments cancelled with less than 24 hours' notice, or appointments you fail to attend, may be subject to a cancellation fee. Details of our cancellation policy will be provided during registration.
- Balance responsibility: You are responsible for any balances not covered by insurance, including amounts resulting from denied claims for services rendered.
- Collections: Unpaid balances may be referred to a collection agency. In such cases, you may be responsible for any additional collection costs permitted by law.
9. Intellectual Property
All content, features, and functionality of our Services — including but not limited to text, graphics, logos, icons, images, software, and design elements — are owned by YBT Health or our licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any content from our Services without our prior written consent, except as necessary for your personal, non-commercial use of the Services as a patient.
10. Prohibited Conduct
You agree not to engage in any of the following while using our Services:
- Providing false, misleading, or inaccurate information during registration or in communications with providers.
- Using the Services for any unlawful purpose or in violation of these Terms.
- Attempting to gain unauthorized access to any part of the Services, other users' accounts, or our systems.
- Interfering with or disrupting the operation of the Services or the servers and networks used to make them available.
- Using automated means (bots, scrapers, etc.) to access or collect data from the Services.
- Impersonating another person or entity.
- Harassing, threatening, or abusing YBT Health staff, providers, or other users.
- Sharing or distributing prescription medications obtained through our Services.
- Using the Services to seek medications for non-legitimate medical purposes.
Violation of these prohibitions may result in immediate termination of your account and access to our Services, and may be reported to appropriate authorities.
11. Disclaimers
Please read the following disclaimers carefully:
- No emergency services: YBT Health does not provide emergency or crisis services. If you are in immediate danger or experiencing a medical emergency, call 911 or go to your nearest emergency room.
- Not a substitute for in-person care: While telehealth is a clinically effective means of delivering many mental health services, it may not be appropriate for all conditions. Your provider will advise you if in-person care is recommended.
- No guaranteed outcomes: Mental health treatment outcomes vary by individual. We do not guarantee specific results from the use of our Services.
- "As is" platform: To the extent permitted by law, our platform and technology are provided on an "as is" and "as available" basis. We do not warrant that the Services will be uninterrupted, error-free, or secure at all times.
- Third-party services: Our Services may contain links to or integrations with third-party websites or services. We are not responsible for the content, privacy practices, or availability of those third-party services.
12. Limitation of Liability
To the fullest extent permitted by applicable law, YBT Health, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of or inability to use the Services.
Our total aggregate liability for any claims arising from or related to these Terms or the Services shall not exceed the total amount you paid to YBT Health in the twelve (12) months preceding the claim.
Nothing in these Terms shall limit or exclude liability that cannot be legally limited or excluded, including liability for gross negligence, willful misconduct, or any liability that cannot be excluded under applicable healthcare regulations.
13. Indemnification
You agree to indemnify, defend, and hold harmless YBT Health, Medicare Services Enterprises, LLC, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your violation of these Terms.
- Your use or misuse of the Services.
- Your violation of any applicable law or the rights of any third party.
- Any content or information you provide through the Services that is inaccurate, incomplete, or misleading.
14. Termination
Either party may terminate the relationship as follows:
- By you: You may stop using the Services and request account deactivation at any time by contacting us. Termination does not relieve you of any outstanding payment obligations.
- By us: We may suspend or terminate your access to the Services at any time if you violate these Terms, if continuing services is clinically inappropriate, or for any other lawful reason. We will provide reasonable notice when possible.
Upon termination, your right to access the Services will cease. We will retain your medical records and personal information as required by applicable law and as described in our Privacy Policy.
Sections that by their nature should survive termination — including Disclaimers, Limitation of Liability, Indemnification, and Governing Law — will continue to apply after termination.
15. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Services shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may initiate binding arbitration in Sheridan County, Wyoming, in accordance with the rules of the American Arbitration Association.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information.
You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action.
Arbitration Opt-Out
You have the right to opt out of the binding arbitration provision above by sending written notice to support@oneybt.com within thirty (30) days of first accepting these Terms. Your notice must include your full name, mailing address, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the state or federal courts located in Sheridan County, Wyoming, and you consent to the personal jurisdiction of those courts.
16. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and YBT Health regarding your use of the Services. These Terms supersede any prior agreements, communications, or understandings, whether written or oral, relating to the subject matter herein.
Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed from these Terms and shall not affect the validity and enforceability of the remaining provisions, which shall continue in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of YBT Health.
Assignment
You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. Any attempted assignment in violation of this section shall be null and void. We may assign these Terms freely in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.
Notices
We may provide notices to you by email to the address associated with your account, by SMS to your registered phone number, or by posting a notice on our Services. You are responsible for keeping your contact information current. Notices sent by email are deemed received on the date the email is sent. For legal notices to us, please send them to the mailing address or email listed in Section 18 of these Terms.
Force Majeure
YBT Health shall not be liable for any delay or failure to perform resulting from causes outside of our reasonable control, including but not limited to natural disasters, pandemics, acts of war or terrorism, government actions, power outages, internet or telecommunications failures, or third-party service disruptions.
Relationship of Parties
Nothing in these Terms shall be construed to create a joint venture, partnership, employment, or agency relationship between you and YBT Health. Healthcare providers using the platform maintain their own independent professional judgment regarding clinical care.
17. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you via email or a prominent notice within our Services.
Your continued use of the Services after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Services.
